Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Constellation Institute ("we," "us," or "our") governing your access to and use of our website at https://constellation.org and any related services we provide through the website (collectively, the "Services").
By accessing or using our Services, you confirm that you are at least 18 years old and that you agree to be bound by these Terms, and to the extent you are using our Services on behalf of an organization, you represent that you are authorized to accept our Terms on behalf of the organization (and references to “you” or “your” in our Terms are understood to apply to both you and your organization). If you do not agree to these Terms, you must not access or use our Services. We reserve the right, in our sole discretion, to modify, alter or otherwise update these Terms at any time. By using the Services after the posting of a modification, you accept the modification. If you have entered into an executed agreement with us for certain services we provide, the terms of that agreement will control to the extent there is any conflict with these terms.
PLEASE SEE THE “DISPUTE RESOLUTION” SECTION BELOW REGARDING YOUR LEGAL RIGHTS IN ANY DISPUTE INVOLVING OUR SERVICES, INCLUDING MANDATORY ARBITRATION AND A WAIVER OF RIGHTS TO A JURY TRIAL OR CLASS ACTION.
Our Services
Constellation Institute is a nonprofit organization that works to ensure AI is developed, deployed, and governed safely. Through our website, we offer:
- Information about our mission, programs, and research
- Program and fellowship applications
- Event registration
- Newsletter subscriptions
- Contact and inquiry forms
Our physical research center in Berkeley, California offers workspace and resources for select individuals and organizations. Use of the research center is subject to separate agreements and usage fees.
Eligibility
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement.
User Submissions
Applications and Forms
When you submit program applications, event registrations, contact forms, or other materials through our Services ("User Submissions"), you agree that:
- All information you provide is accurate, complete, and current
- You will not misrepresent your identity, qualifications, or eligibility
- You will not submit fraudulent applications or registrations
- You have the right to submit any materials you provide to us
- You have obtained all third-party consents and permissions required under applicable laws regarding the collection, processing, storing, posting, and transmission of any personal information and/or image or likeness of any person, entity, or property which is part of your User Submissions and you will adhere to all such “applicable laws”
License to User Submissions
You represent and warrant that you own all necessary rights in and to any User Submissions you provide to us, or have obtained all necessary permissions to submit such materials to us.
We do not claim ownership rights to your User Submissions. However, by submitting materials to us, you grant us a non-exclusive, fully paid and royalty-free, transferable, sub-licensable, worldwide license to use, reproduce, modify, display, distribute, and otherwise disclose to third parties your User Submissions in order to provide our Services, to maintain and improve our Services, and for other purposes in accordance with these Terms, subject to our Privacy Policy.
No Guarantee of Acceptance
Submission of an application or registration does not guarantee acceptance into any program or event. We reserve the right to accept or reject any application or registration at our sole discretion.
Privacy and Security
Personal information collected by us in connection with the Services will be maintained in accordance with our posted Privacy Policy.
Our Content
License to Use
All content on our website—including text, articles, research, graphics, logos, and other materials ("Our Content")—is owned by Constellation Institute or our licensors. We grant you a limited, non-exclusive, non-transferable license to access and use Our Content for personal, non-commercial purposes, provided you include appropriate attribution to Constellation Institute.
Attribution Requirements
If you reuse or reference Our Content, you must provide clear attribution to Constellation Institute, including a link to our website where practical.
Restrictions
You may not:
- Remove any copyright, trademark, or other proprietary notices from Our Content
- Use Our Content in a manner that misrepresents our views or implies our endorsement of your activities
- Use Our Content for commercial purposes without our prior written consent
Feedback and Ideas
If you choose to send us feedback, recommendations, issues, information, ideas, suggestions, or other materials in connection with our programs, content or Services, you agree that we are free to use it for any purposes whatsoever, including, without limitation, developing and improving our programs and services, without any liability or payment of any kind to you, and without any commitment to confidentiality unless we expressly provide otherwise in writing.
Materials
We may update the content in our Services from time to time, but it will not necessarily be complete or up-to-date. Although it is our intention for the Services to be available as much as possible, there may be occasions when the Services may be interrupted, including, without limitation, for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and/or equipment. We may remove any content from the Services for any reason, without prior notice. Content removed from the Services may continue to be stored by us, including, without limitation, in order to comply with certain legal obligations, but may not be retrievable without a valid court order or similar legal process.
Prohibited Conduct
When using our Services, you agree not to:
- Provide false, misleading, or fraudulent information in any application, registration, or form
- Misrepresent your identity, qualifications, background, or eligibility for any program or event
- Impersonate any person or entity
- Use the Services for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to our systems, networks, or data
- Interfere with or disrupt the operation of our Services
- Transmit viruses, malware, or other harmful code
- Use automated systems (such as bots or scrapers) to access our Services, or use or train AI tools with our content or Services, without our permission
- Collect or harvest information about other users
Program Participation
If you are accepted into a Constellation Institute program or event, your participation may be subject to additional terms, including:
- Our Code of Conduct
- Program-specific policies and requirements
- Research center usage agreements (for in-person programs)
These additional terms will be provided to you prior to or upon acceptance. In the event of a conflict between these Terms and program-specific terms, the program-specific terms will govern your participation in that program.
Linking to the Services
You may link to our website provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent. The Services may provide certain social media features that enable you to: link from your own or certain third-party websites to certain content on our Services; send communications with certain content, or links to certain content, using the Services; or cause limited portions of content on the Services to be displayed or appear to be displayed on your own or certain third-party websites. You may use these features solely as they are provided by us, and must not otherwise: cause the Services or portions of it to be displayed on, or appear to be displayed by, any other site (for example, scraping, framing, deep linking, or in-line linking); or take any action with respect to the Services that is inconsistent with these Terms. We may disable any social media features and any links at any time without notice at our sole discretion.

Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by us. We provide these links for your convenience only and do not endorse or assume responsibility for the content, privacy practices, or policies of any third-party sites. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM USING OUR SERVICES WILL BE ACCURATE OR RELIABLE
- ANY DEFECTS IN OUR SERVICES WILL BE CORRECTED
YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK.
BY ACCESSING THE SERVICES, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED, AND IN ACCORDANCE WITH SUCH WAIVER, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND, AND HEREBY EXPRESSLY WAIVE, THE BENEFITS OF ANY LAW WHICH PROVIDES THAT A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CONSTELLATION INSTITUTE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND VOLUNTEERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
The provisions in these Terms are intended to be only as broad and inclusive as is permitted by the laws of your state of residence. We reserve all rights, defenses and permissible limitations under the law of your state of residence.
Indemnification
You agree to indemnify, defend, and hold harmless Constellation Institute and its directors, officers, employees, agents, and volunteers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of our Services
- Your violation of these Terms
- Your violation of any rights of another party
- Any User Submissions you provide
- Any fraudulent or misleading information you submit
- Any other posting, link, reference to other content, or otherwise associated with your use of the Services
Dispute Resolution
Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at info@constellation.org to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within 30 days of your initial contact, either party may proceed to binding arbitration as described below.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in San Francisco, California, or upon agreement of the parties, online, by telephone, or via written submissions alone, and be administered by JAMS; provided however, that in the event that five (5) or more individuals seek to initiate (or do initiate) arbitration proceedings against us in a coordinated or related manner (e.g., coordination among plaintiffs or their counsel in regard to similar claims), then instead of such arbitrations being administered by JAMS, we may elect in our sole discretion to consolidate such arbitrations before an arbitrator mutually agreed-upon by the parties (and terminate any pending administration by JAMS), with such arbitrator being a retired federal or state judge and experienced with the subject matter of the arbitration (“Consolidated Arbitration”).
The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.
The parties undertake to keep confidential all awards in their arbitration, together with all confidential information, all materials in the proceedings created for the purpose of the arbitration and all other documents produced by the other party in the proceedings and not otherwise in the public domain, except to the extent that disclosure may be legally required of a party, necessary to protect or pursue a legal right, or to enforce or challenge an award in legal proceedings before a court or other judicial authority.
Jury Trial and Class Action Waiver
YOU WAIVE YOUR RIGHT TO A JURY TRIAL IN ANY JUDICIAL PROCEEDING. YOU AND CONSTELLATION INSTITUTE AGREE THAT EXCEPT FOR CONSOLIDATED ARBITRATION AS PROVIDED ABOVE, ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Constellation Institute.
Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
Governing Law
These Terms and any dispute arising out of or related to these Terms or your use of our Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. EXCLUDING DISPUTES ADDRESSED THROUGH ARBITRATION AS PROVIDED IN THE "DISPUTE RESOLUTION" SECTION ABOVE, YOU AGREE TO SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE COMPETENT STATE AND FEDERAL COURTS WITH JURISDICTION FOR THE STATE OF CALIFORNIA IN RELATION TO ANY CLAIM, DISPUTE, OR DIFFERENCE ARISING FROM THESE TERMS, AND YOU AGREE TO WAIVE ANY RIGHT OF REMOVAL OR TRANSFER WHETHER DUE TO FORUM NON-CONVENIENS OR OTHER REASON. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Transaction Act (UCITA) are expressly excluded from these Terms.
Services Controlled from United States
Our Services are intended for use in the United States. We make no representation that content or materials in the Services are appropriate or available for use in other jurisdictions outside the United States. Access to any of the Services from jurisdictions where such access is illegal is strictly prohibited. If you choose to access the Services from other jurisdictions, you do so at your own risk. You are always responsible for your compliance with applicable laws.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Post the revised Terms on our website
- Notify you by email or through a notice on our website, where appropriate
Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services.
Termination
We reserve the right to suspend or terminate your access to our Services at any time, with or without cause and with or without notice, including if we believe you have violated these Terms.
Upon termination, your right to use our Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
Entire Agreement
These Terms, together with our Privacy Policy and any program-specific terms provided to you, constitute the entire agreement between you and Constellation Institute regarding your use of our Services and supersede all prior agreements and understandings, whether written or oral. You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms or your use of the Services.
